Terms and Conditions

Introduction

These Terms and Conditions govern your contractual relationship with The Reading Football Club Limited in relation to:

· your purchase of Tickets and access to the Stadium to watch football matches generally (see the General Terms and Conditions (see section 1 Part 1), and additional specific Terms and Conditions for the purchase of Seasons Tickets (section 1 Part2); and

· the hire of hospitality rooms at the Stadium (see section 2)

  • your membership of the Club (see section 3)

· your purchase of Club merchandise (see section 4)

PLEASE READ THE RELEVANT SECTIONS CAREFULLY PRIOR TO PURCHASE

YOUR ATTENTION IS DRAWN IN PARTICULAR TO THE FOLLOWING SUMMARY OF KEY CONDITIONS
  • in order to ensure compliance with the regulations and enjoyment of matches for all, access to the Stadium is subject to important Ground Regulations (see Appendix 1 below), with which all attendees are required to comply
  • our liability to you is limited to the extent permitted by law
  • the return of Tickets and refunds are subject to conditions
  • match times and dates are subject to change. It is your responsibility to check dates and kick-off times of re-arranged matches
  • tickets may not be re-sold
Further details of these conditions can be found in the relevant sections below.


DEFINITIONS

In these Terms and Conditions, some words are capitalised meaning that they are defined further below:

Adult

means anyone aged 25 and over

Club

means The Reading Football Club Limited registered in England and Wales under Company Number 0053703 and whose registered office is at Madejski Stadium, Junction 11 M4, Reading, RG2 0FL

Family Area

means the area from time to time notified by the Club (in the 2017-2018 Season Blocks B16, B17 and B18 Eamonn Dolan Stand - about 2600 seats) who are accompanied by at least one person below aged 17 and under

Football Authorities

means any or all as relevant of the Premier League, the Football Association, the Football League, FIFA, UEFA and any other relevant governing body of association football

Guest

means a person attending a Match as a friend, relative or guest of a Ticket Holder

Ground Regulations

means regulations governing access to and the proper conduct of persons in attendance at the Stadium as set out at http://www.readingfcdirect.co.uk/ground-regulations.aspx and in Appendix 1 to these Terms and Conditions, (to include equivalent ground regulations at other venue in respect of away games) and generally in these Terms and Conditions and as may from time to time be amended by the Club or the Football Authorities

Junior

means anyone aged 17 and under

Match(es)

means any association football match taking place at the Stadium

Match Ticket

means a paper ticket issued by or authorised for sale by the Club entitling the Ticket Holder to access the Stadium and attend a particular Match only and subject to the terms and conditions set out in sections 1.1 and 1.2

Member

means a person who is registered through the Club membership scheme.

Member Card

means a non-seasonal membership scheme which costs £5 for adults and £3 for concessions and juniors.

Regulations

means any statute, statutory instrument or other regulations of binding effect from time to time in force in England and including rules and regulations of the Football Authorities

Ticketing Loyalty Points

means the amount of loyalty points earned by a Member for purchasing match tickets

Season

means the football season as determined by the Football Authorities, usually from August to the end of May

Season Ticket

means a smartcard issued by or authorised for sale by the Club entitling the Ticket Holder access to the Stadium to attend Matches during a Season, subject to the terms and condition in Sections 1.1 and 1.3

Season Ticket Holder

Ticket Holder of a Season Ticket

Stadium

means the Madejski Stadium, Bennett, Road, Reading, Berkshire, RG2 0FL

Ticket

means, as relevant either a Match Ticket or a Season Ticket or both

Ticket Holder

means a purchaser of a Ticket or for whom and in whose name a Ticket has been bought entitling them to access the Stadium


SECTION 1 – TERMS AND CONDITIONS OF ACCESS AND TICKET PURCHASES

Part 1 - General Terms and Conditions

1 your contract with the club

1.1 By the purchase of a Ticket and by access to the Stadium, a Ticket Holder shall be deemed to have agreed to be bound by the following:

  • these General Terms and Conditions

· the specific Terms and Conditions relevant to your purchase, namely section 1.2 for Match Ticket purchases and section 1.3 for Season Ticket Purchases, which in the event of conflict will prevail over the General Terms and Conditions

· the Ground Regulations and applicable Regulations

which together will constitute the entire agreement between the Ticket Holder and the Club to the exclusion of any non-fraudulent representation or marketing materials.

1.2 If these Ticket Terms and Conditions are not accepted Tickets should not be purchased or should be returned to the Club immediately.

2 access conditions

2.1 Ticket Holders will be responsible for compliance and observance with these Terms and Conditions and with the Ground Regulations. Misconduct of the Ticket Holder or Guests, failing to adhere to these Terms and Conditions or acting in a manner which the Club reasonably considers is detrimental to its interests or is likely in the reasonable opinion of the Club to bring football or the Club into disrepute shall permit the Club to confiscate or forfeit (in each case without compensation) the Ticket, to prevent access to the Stadium for the Match in question and/or to ban the Ticket Holder from attending future Matches or other events at the Stadium or at away games at other venues for such time as the Club deems appropriate. The Club will seek where relevant to prosecute to the full extent of the law where applicable as well as informing the Football Authorities or law enforcement agencies of any breaches of this nature.

2.2 Entrance to the Stadium is only permitted upon presentation of a valid Ticket, which should be retained until the Match in question has been played to a conclusion. In addition, upon request, proof of identity may be required

2.3 The Ticket gives access only to the block, row and seat indicated on the Ticket and not to any other seat within the Stadium. However, the Club reserves the right to re-allocate the Ticket Holder to any other seats in the Stadium at any time, of equivalent value and type, save as otherwise provided in these Terms and Conditions.

2.4 No person (other than the holder of a valid licence granted by the Club's consent) may bring into, or use within, the Stadium any equipment which is capable of recording or transmitting any audio, visual or audio-visual material or any information or data in relation to a Match or any aspect of it or the Stadium, other than mobile phones or like devices for personal non commercial use.

2.5 Save for official Club merchandise and/or other football related clothing worn in good faith, you shall not bring into, use or display within the Stadium any sponsorship, promotional or marketing materials.

2.6 You shall not offer or distribute (either free or for sale by any person) within the Stadium any consumer article or commercial product of any nature. For the avoidance of doubt this clause shall not prevent the lawful distribution of text publications in any format which do not infringe this clause 2.5 where both the content and the publication are lawful in all respects and do not in the Club's reasonable opinion constitute a threat to public order and which have been agreed in writing in advance by the Club.

2.7 The Ticket remains the property of the Club at all times.

3. use of the family area

3.1 Club policy states that in the Family Area, there can be no adult season tickets / match tickets sold unless accompanied by at least one person aged 17 and under, except for existing Season Ticket Holders already in the Family Area.

3.2 Existing Season Ticket Holders within the Family Area who are not accompanied by a person aged 167 and under as part of their party are welcome to renew their seat but are advised that this area is to encourage more families and youngsters to experience matchday at the Stadium.

3.3 The majority of the Family Area will be sold as Season Tickets, with any remaining seats being sold as family Match Tickets and as part of our Group and Events Scheme.

3.4 If you do not meet this criterion, the Club reserves the right to move your Ticket to a more suitable area of the Stadium for you to enjoy the game, subject to availability.

3.5 As regards new Season Ticket Holders the Family Area will be restricted to Members who are accompanied by at least one person aged 17 and under, and therefore no adult Season Tickets/Match tickets will be purchased in the Family Area unless so accompanied. The Club reserves the right to re-allocates the seats of any Season Ticket Holder who no longer meet this criterion to another suitable and available area of the Stadium.

4. refunds

4.1 The Club will only give refunds on purchased Tickets if the tickets are returned to the Club Ticket office over 24 hours before the kick off of the Match for which the ticket is valid. If the match is abandoned before kick off, the ticket shall remain valid for the rearranged match. Any person who does not wish to attend the rearranged Football Match shall be entitled to a refund and in the case of a postponement before kick off this will be the full face value of the Ticket for the relevant Match. Refunds will only be considered until 24 hours prior to the Match and will only be provided once the relevant Ticket is returned to the ticket office. In the case of an abandonment of the Match once the Match has commenced half price admission to the re-arranged game will be offered. In no circumstances will the Club be liable to pay any other sums to any persons in connection with a postponed or abandoned Football match. The Club will have no further, or other, liability whatsoever, including (but not limited to) for any indirect or consequential loss or damage including (but not limited to) loss of enjoyment or travel or accommodation costs.

4.2 If for any reason the date and/or time of a Football Match is altered after a ticket has been purchased it is the responsibility of the customer to ascertain the correct date and time of the fixture. The Club will use all reasonable endeavours to make this information publically available as soon as any changes have been made. The Club is under no obligation to give any form of recompense to anybody who misses a Football Match due to a date and/or time change duly notified by the Club.

4.3 In the event of a Match Ticket being lost, damaged or misplaced the Club is under no obligation to provide a duplicate Ticket.

5. concessions

5.1 When a concession ticket is purchased, proof of identity and concession entitlement may be required at the point of ticket collection and/or entry to the ground. Anyone found trying to collect a ticket and/or gain entry with the intention of using a ticket within an incorrect price band will be required to purchase another ticket at full match day adult rate without the right for a refund on the original concession ticket.

5.2 Concessions may be offered on Ticket pricing for senior Citizens, Junior and disabled supporters. At the Clubs discretion you may be asked to provide proof of your concessionary status. Senior citizen prices are valid for anybody 65 and over, and junior prices for anybody aged 24 and under as at 1st August for full Season Tickets and Ticket purchases in the first half of the season (where August is the 1st month of the season). Concession prices for Half Season Ticket purchases in the second half of the season will be applicable from the 2nd January 2018 for 2017-18 season.

5.3 One free ticket for anyone aged 7 and under season ticket will only be eligible if a full price non-junior season ticket is purchased. Season Tickets for supporters 7 and under are intended to be used on a regular basis by the named holder and the Club reserves the right to suspend the Season Ticket if not used in this way. Free Season Tickets will not be issued to supporters aged three and under. However supporters under 5 are entitled to be carried through the turnstiles if they then sit on the parents/guardian’s lap during the match.

5.4 Disabled supporters are defined within the Clubs Disabled Ticketing Policy which can be found here (http://www.readingfc.co.uk/fans/disabled-supporters/) or via the Customer Service Department at the Stadium.

5.5 The Club reserves the right to alter these price age bands and will use reasonable endeavours to provide notice to Members in the match day programme or through the Website or by email relating the changes to the system by which match tickets are sold. Anybody found to be using concession ticket unjustly to gain entry to a Match will be liable to denied entry or ejection & suspended from future Matches. No refund will be given.

6. ticket resale

6.1 The resale of any Tickets at more than face value is strictly prohibited. A Ticket shall become void and will not allow entry to the Stadium or have any right to a refund where the Club believes it has been sold to another person at a higher price, sold on the internet (through unauthorised ticket brokers, auction sites or otherwise) or any other medium whether now or hereafter developed or it has been used as a prize in a lottery, competition or for any other promotional or advertising purpose unless expressly authorised by the Club in writing.

6.2 The Club will seek where relevant to prosecute to the full extent of the law where applicable as well as informing other bodies either Football Authorities, or other law enforcement agencies of any breaches of this section.

7. ticket bundles

7.1 Ticket bundles are only available to Members and strictly limited to two bundles per Member per Season.

7.2 Once a Member purchases a bundle it allows them to select 4 home league Matches of their choice by managing their bundle online or by contacting the Ticket Office once the chosen Matches are on sale.

7.3 No upgrades shall be available from the particular Ticket bundle purchased, so that, for example, if a Member purchases an Upper West Stand bundle, their 4 Matches are only valid in the Upper West Stand. If a Member purchases a bundle for East, West Lower Stand or Eamonn Dolan Stand, then they cannot select Tickets in the Upper West Stand.

7.4 In the Eamonn Dolan Stand an adult will only save £2 and a 17 & under will not make any additional saving with their bundle.

7.5 Members who have purchased a bundle will not receive any ticket priority, and all Tickets are subject to availability. Dependent on demand Ticketing Loyalty Points may be used as a means of determining eligibility.

7.6 There will be no refunds payable in respect of any Ticket bundle. However in the event of a postponement, the Ticket for the chosen Match can be transferred to a different Match, subject to availability.

8. liability of the club

8.1 Nothing in these Terms and Conditions shall operate to exclude or limit the Club's liability for death or personal injury caused by the negligence of the Club, its servants, agents, employees or sub-contractors or for fraudulent misrepresentation.

8.2 Subject to 8.1, the Club's total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the sale of any Ticket shall be limited to the face value of the Ticket for the Match in respect of which the liability arose, which is the case of Season Tickets will be the pro rata fee for that Match.

8.3 Subject to 8.1, the Club shall not be liable for any special, indirect or consequential loss or damage or for loss of profit, loss of business, loss of enjoyment, loss of anticipated savings or depletion of goodwill which arise out of or in connection with the sale of the Ticket.

8.4 The Ticket Holder shall indemnify the Club in respect of any claims, liabilities, damages, costs, expenses or losses incurred by the Club arising from or in connection with any breach of these Terms and Conditions, the Ground Regulations and applicable Regulations by the Ticket Holder or any Guest for whom the Ticket Holder may be responsible.

9. publicity

The Club may from time to time create images and/or audio-visual video footage of Ticket Holders attending the Stadium. The Club owns all rights in such images and footage and shall be entitled to use the same for the purpose of: (i) promoting the Club and its commercial partners; and (ii) any other commercial activity provided in each case that such use does not harm the reputation of the relevant individual whose image is used.

10. governing law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The parties hereby submit to the exclusive jurisdiction of the Courts of England and Wales.

Part 2 Season Tickets Terms and Conditions

These Terms and Conditions are additional to the General Terms and Conditions in Part 1

1. Issue of Season Ticket

Season Tickets are for the use of supporters of the Club only. By applying for a Season Ticket and/or using the same you hereby warrant and represent that you are a supporter of the Club.

2. Admission to the Ground

2.1 Use of a Season Ticket constitutes acceptance of these Terms and Conditions.

2.2 A Season Ticket permits you to occupy at the Match the seat indicated on the Season Ticket or such other alternative seat of equal price as the Club may, from time to time, allocate to you at its reasonable discretion where this is required for operational reasons (for example and without limitation, to facilitate the refurbishments of redevelopment of certain areas of the Stadium.

2.3 If the alternative seat is in a lower price band the Ticket Holder’s usual allocated seat, the Ticket Holder shall be entitled to receive a refund in respect of such match which shall be equal to the difference between the price of the Ticket Holder’s usual allocated seat for that match and the alternative seat allocated to the Ticket Holder for that match).

2.3 Nothing in these Terms and Conditions shall constitute or imply any entitlement to occupy the seat indicated on the Season Ticket in any subsequent Season.

3. Use of Season Ticket

3.1 Season Tickets are issued for your sole use and you shall not resell, assign or (save as set out in clause 3.2 below) transfer or lend the Season Ticket or the benefit of it to any other person without the prior written consent of the Club. For the avoidance of doubt (and by way of example only) this Season Ticket may not be offered as a prize in any promotion or competition nor transferred, lent or sold to any third party as part of a hospitality or travel package, given to a third party who agrees to buy another good or service, or used for any other commercial purpose, save as expressly authorised by the Football Authorities or the Club.

3.2 You may only resell or transfer the Season Ticket to a Guest with the express written consent of the Club given at the Club's absolute discretion. No such resale or transfer will be permitted except where the same takes place in respect of an individual match and in consideration of no payment or benefit in excess of the face value of a ticket to that Match and such transfer does not take place during the course of any business or for the purpose of facilitating any third party's business. Such resale or transfer to any Guest will be subject to the Terms and Conditions which will (save for any rights to transfer under this clause) apply to that Guest as if he/she was the original purchaser of the Season Ticket (and you must inform the Guest of this) and by accessing the Stadium the Guest will be deemed to have agreed to this pre-conditions and to be subject to the Ground Regulations. Transfers of Season Tickets are permitted solely when advised to the Club in advance and the appropriate upgrade fee based on the individual match price is paid. The Club will cancel any Season Ticket if the appropriate upgrade fee is not paid.

3.3 Season Tickets are intended solely for the named Season Ticket Holder and the Club will monitor and reserves the right to suspend the transfer facility or Season Ticket if tickets are regularly not being used by the named holder. Non-adult Season Ticket Holders may use the official scheme to upgrade their Season Tickets to Concession/Adult tickets on a per game basis via the Club ticket office a maximum of 3 times per season- with restrictions not included for evening games.

3.4 The unauthorised sale or disposal of tickets is a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act 2006. The Club will inform the police when it becomes aware that Season Tickets are being sold illegally and will press charges to be brought against those breaking this law.

3.5 The Season Ticket will remain the property of the Club at all times and must be produced together with evidence of your identity if required to do so by any official, steward or employee of the Club or any police officer. The Club reserves the right to require the immediate return of the Season Ticket at any time.

3.6 When a concession ticket is purchased, proof of identity and concession entitlement may be required at the point of ticket collection and/or entry to the ground. Anyone found trying to collect a ticket and/or gain entry with the intention of using a ticket within an incorrect price band will be required to purchase another ticket at full match day adult rate without the right for a refund on the original concession ticket. Regular checks are made of concession ticket usage at the turnstiles. Any supporters purchasing age related concession prices are advised to bring a form of identification with them to the match. Staff may challenge anyone considered not to be a genuine concession and request proof of age. Anyone found trying to gain entry using a ticket with an incorrect price band will be required to purchase another ticket at full match day adult rate.

3.7 Any Season Ticket obtained or used in breach of the Terms & Conditions shall be automatically void and all rights conferred or evidenced by such Season Ticket shall be nullified. Misuse of this Season Ticket may result in the holder being refused entry to, or ejected from, the Ground in respect of a particular Match and/or the cancellation and withdrawal of this Season Ticket. In the event of any cancellation and withdrawal in accordance with this clause 3.6, no refund shall be payable to the holder in respect of any unexpired portion of the Season Ticket. The Club further reserves its right to take any legal action against any person(s) as it sees fit in connection with such matters.

4. Changes to Dates, Refunds & Exchanges

4.1 No guarantees can be given by the Club that a Match will take place at a particular time or on a particular date. The Club reserves the right to reschedule any Match without notice and without any liability whatsoever. Your Season Ticket will enable you to attend the re-arranged Match.

4.2 The Club will have no further liability whatsoever, including (but not limited to) any direct or consequential loss or damage, loss of enjoyment or travel costs.

4.3 All Season Ticket sales are strictly non-refundable.

5. Lost or Stolen Season Tickets

5.1 In order to gain admission to the Stadium the Season Ticket smartcard must be presented at every match.

5.2 In the event that you forget your Season Ticket in respect of any individual Match, the Club shall not be obliged to admit you or issue any other form of ticket for that Match. If a match-day duplicate ticket is issued, the Club will require payment of a non-refundable administration charge.

5.3 If, in the Club's opinion, a Season Ticket is irreparably lost, stolen or destroyed, a duplicate Season Ticket shall be issued by the Club as soon as reasonably practicable after the payment of a non-refundable administration charge. You may be required to sign a document confirming that the original Season Ticket is irreparably lost, stolen or destroyed and indemnifying the Club against any direct or indirect consequences of such matter having been falsely represented or stated to the Club.

5.4 Should any Season Ticket when applied for not arrive in the post after purchase, you may be required to sign a document confirming this and undertaking to immediately return the original Season Ticket to the Club should it come into your possession at any time. There will be no charge for the issue of a duplicate Season Ticket in this instance.

6 . Change of Address

If you change your address during the season you must notify the Club as soon as reasonably practicable.

7. Cancellation & Withdrawal of Season Ticket

7.1 Without prejudice to any other remedies it may have, the Club shall have the right in the case of any serious or persistent breach of the Terms and Conditions to cancel and withdraw your Season Ticket. In the event of such cancellation no refund will be paid in respect of any unexpired portion of the Season Ticket. Without prejudice to the general nature of the above the following actions shall constitute serious breach of the Terms and Conditions

7.1.1 breach of any Ground Regulations;

7.1.2 sale or transfer (save as permitted) of this Season Ticket to any person;

7.1.3 deliberate misuse of the Season Ticket;

7.1.4 the supply of any misleading or incorrect information in any application;

7.1.5 any misrepresentation;

7.1.6 breach of the terms of any Membership;

7.1.7 any failure to pay or default of payment in respect of any sums owing to the Club (or any third party) in respect of this Season Ticket.

7.1.8 acquiring a Season Ticket for any reason other than using it for its intended purpose.

7.2 In the event that your Season Ticket is withdrawn or cancelled the Club reserves the right to exclude you from any membership scheme maintained or organised by the Club and/or to disqualify you from applying for any Match Ticket or Season Ticket at its discretion.


Section 2 HOSPITALITY TERMS AND CONDITIONS

The following are the Terms and Conditions on which Reading Football Club Limited (“Club”) agree to provide venue and hospitality facilities to customers (“Client”).

1 Definitions

1.1 "Agreement" means these Terms and Conditions and the Booking Form.

1.2 "Booking Form" means the form setting out the Client's booking details incorporating these Terms and Conditions.

1.3 "Fee" means the fee for the Room and the Package specified on the Booking Form including VAT.

1.4 "Match" means Club matches or matches promoted by the Club during which the Package will be provided to the Client as specified on the Booking Form.

1.5 "Hire Period(s)" means the period(s) during which the Room will be made available to the Client for the Matches as set out on the Booking Form, whether for a single period of a Match or for one or more Seasons.

1.6 "Package" means the package specified on the Booking Form.

1.7 "Room" means the room provided to the Client at the Stadium for use at the Matches as specified on the Booking Form.

2 The Club’s Obligations

2.1 In consideration of payment of the Fee, the Club shall during the Hire Period:

2.1.1 make the Room available for use by the Client and its guests;

2.1.2 provide the goods and services specified in the Package;

2.1.3 provide such furniture, furnishings, fixtures and equipment in the Room as may be reasonably required for the use of the Room. Such items shall remain the property of the Club at all times;

2.1.4 clean and maintain the Room to a reasonable standard;

2.1.5 take all reasonable precautions for the security of the Room. The Club shall not however be in any way responsible for the loss of or damage to the property of the Client or its guests;

2.1.6 make available for purchase by the Client and its guests the items for sale specified in the Booking Form, to be paid for separately by the Client and/or its guests;

2.1.7 supply alcoholic drinks in the Room subject to the relevant licensing laws and any conditions imposed on the Club by any relevant authority;

2.1.8 provide all essential services and facilities to the Client and its guests.

2.2 The Club shall perform its obligations under this Agreement with reasonable care and skill and in accordance with all applicable laws, regulations and requirements of local authorities and landlords.

3 The Client’s Obligations

3.1 The Client shall and shall procure that its Guests:

3.1.1 use the Room only during the Hire Period;

3.1.2 use the Room, match seat and Club premises in a proper and lawful manner and not so as to cause nuisance or inconvenience to the Club or any other person;

3.1.3 keep the Room together with furniture, furnishings, fixtures and equipment supplied by the Club in good repair and condition (fair wear and tear excepted) and make good any damage or loss caused in the course of the use of Room as soon as reasonably practicable;

3.1.4 do not cause or permit the capacity of the Room as specified in the Booking Form to be exceeded;

3.1.5 do not bring any food or beverages into the Room for consumption other than those supplied by the Club;

3.1.6 do not display any posters or materials in the Room without the Club's prior written consent;

3.1.7 remove all personal belongings from the Room at the end of the Hire Period;

3.1.8 comply with the Ground Regulations and all applicable laws relating to the consumption of alcohol in football grounds and the terms of the Club's alcohol licence as notified to the Client from time to time;

3.1.9 comply with the special terms and conditions specified in the Booking Form;

3.1.10 comply with all reasonable directions given by the Club as to the use of the Room and the Club's premises;

3.1.11 behave in a responsible manner and comply with any Club rules and policies notified to the Client from time to time;

3.1.12 comply with the dress code notified to the Client from time to time.

3.2 The Club reserves the right to refuse entry to or require the removal of any person who it considers is in breach of or in its reasonable opinion is likely to breach the terms of clause 3.1.

3.3 The Client shall not in any circumstances resell the Package or any of the goods and services specified in it to any third party except with the Club’s prior written consent.

4 Variations

4.1 The Club reserve the right to vary the Package from time to time on giving such notice to the Client as is reasonably practicable in the circumstances. Where a variation is made, the Club shall use its reasonable endeavours to ensure that the alternative package provided is of a superior or equivalent standard to the Package.

4.2 If the Room is unavailable for any reason during the Hire Period, the Club reserve the right to relocate the Client to an alternative room on giving such notice to the Client as is reasonably practicable in the circumstances. Where the Client is relocated to another room, the Club shall use its reasonable endeavours to ensure that the replacement room is of a superior or equivalent size and standard to the Room.

4.3 The dates and times of Matches are subject to change and the Club accepts no responsibility in respect of such changes and no refunds will be made to the Client.

5 Limitation of Liability

5.1 The Client shall indemnify the Club in respect of any claims, liabilities, damages, costs, expenses or losses incurred by the Club arising from or in connection with the use by the Client and its guests of the Room and the Club's premises other than in accordance with the terms of the Agreement.

5.2 Nothing in the Agreement shall operate to exclude or limit the Club's liability for death or personal injury caused by the negligence of the Club, its servants, agents, employees or sub-contractors or for fraudulent misrepresentation.

5.3 Subject to Clause 5.2:-

5.3.1 The Club's total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of the Agreement shall be limited to the Fee; and

5.3.2 The Club shall not be liable to the Client for any special, indirect or consequential loss or damage or for loss of profit, loss of business, loss of enjoyment, loss of anticipated savings or depletion of goodwill which arise out of or in connection with the Agreement.

6 Term and Termination

6.1 The Agreement shall commence on the date of signature of the Booking Form by the Client and subject to clause 6.2, shall continue until the end of the Term and shall not be capable of cancellation or early termination except as provided in this clause 6.

6.2 Either party shall be entitled to terminate the Agreement with immediate effect on written notice to the other party if:

6.2.1 the other party commits a material breach of any term of the Agreement and in the case of a breach capable of remedy fails to remedy the same within 14 days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied;

6.2.2 an encumbrancer takes possession or a receiver is appointed over any of the property or assets of the other party;

6.2.3 the other party makes any voluntary arrangement with its creditors or becomes subject to an administration order;

6.2.4 the other party goes into liquidation (except for the purposes of amalgamation or reconstruction and in such manner that the company resulting therefrom effectively agrees to be bound by or assume the obligations imposed on that other party under the Agreement);

6.2.5 anything analogous to any of the foregoing under the law of any jurisdiction occurs in relation to the other party;

6.2.6 the other party ceases or threatens to cease to carry on business;

6.2.7 the other party is declared bankrupt or makes any arrangement with or for the benefit of his creditors.

6.3 Termination of this Agreement, however caused, shall be without prejudice to any rights or liabilities accrued at the date of termination.

6.4 If this Agreement is terminated by the Club in accordance with clause 6.2, there shall be no liability on the part of the Club to refund any proportion of any Fee paid by the Client.

7 Fee

7.1 The Fee shall be paid by credit or debit card or on invoice by the Club. Amex and Diners cards are not accepted.

7.2 Where the Client chooses to pay by credit or debit card, the Client's card will be debited by the Club as soon as reasonably practicable after receipt of the signed Booking Form and a receipted invoice will be sent to the Client.

7.3 Where the Client chooses to pay on invoice, the Club shall invoice the Client for the Fee on receipt of the signed Booking Form. The Client shall pay the Fee within 14 days of receipt of the Club's invoice.

7.4 If the Client fails to pay the Fee to the Club by the due date for payment, the Club may charge the Client interest on the overdue amount at the rate of 4% per annum above HSBC Bank Plc's base lending rate from time to time. Such interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. The Client shall pay the interest immediately on demand by the Club.

7.5 Without prejudice to clause 7.4, where the Fee is not paid by the due date for payment, the Club reserve the right to refuse the Client use of the Room until the Fee has been paid.

7.6 The Room is provided on a “take or pay” basis, such that if the Client does not use the Room for the Hire Period or Hire Periods as determined in the Booking Form when available, no refunds shall be due from the Club and in the event of early termination of this Agreement (save for cause by the Client in accordance with clause 6.2), the Client shall be liable to pay in full all Fees due in respect of the package for the Hire Period and for every Hire Periods if more than one as set out in the Booking Form.

7.7 In the case of an abandonment of any Match once that Match has commenced the liability of the Club shall be capped to 50% of the fee and in no circumstances will the Club be liable to pay any other sums to any persons including Guests in connection with a postponed or abandoned Football match. The Club will have no further, or other, liability whatsoever, including (but not limited to) for any indirect or consequential loss or damage including (but not limited to) loss of enjoyment or travel or accommodation costs.

8 General

8.1 The Client may not without the prior written consent of the Club assign, sub-contract, delegate or dispose of any of its rights or obligations under the Agreement.

8.2 Neither party shall be deemed to be in breach of the Agreement or otherwise be liable to the other by reason of any delay in performance or non-performance of any of its obligations under the Agreement to the extent that such delay or non-performance is due to any cause or event outside that party's reasonable control.

8.3 Any waiver by either party of a breach of any provision of the Agreement shall not be considered as a waiver of any subsequent breach of the same or any other provision thereof.

8.4 The Agreement contains the entire agreement between the parties with respect to the subject matter thereof and supersedes all previous agreements and understandings between the parties with respect thereto and may not be modified except by an instrument in writing signed by the duly authorised representatives of the parties.

8.5 Each party acknowledges that in entering into the Agreement it does not do so on the basis of and does not rely on any representation warranty or other provision except as expressly provided therein and all conditions, warranties or other terms implied by statute or common law are hereby excluded to the fullest extent permitted by law.

8.6 If any provision of the Agreement is held by any court or other competent authority to be void or unenforceable in whole or in part the Agreement shall continue to be valid as to the other provisions and the remainder of the affected provisions.

8.7 No term of the Agreement shall be enforceable under the Contracts (Rights of Third Parties) Act 1999 by any third party.

8.8 Where there is any inconsistency between these Terms and Conditions and the Booking Form, the provisions of the Booking Form will prevail. The Club reserves the right to vary these Terms and Conditions from time to time.

8.9 Any notice or other information required or permitted to be given by either party under the Agreement shall be deemed to have been validly given if served personally upon that party or if sent by first class pre-paid post to the last known address of that party. If sent by first class pre paid post the notice shall be deemed to have been received 2 working days after the date of posting.

8.10 The Agreement shall be governed by and construed in all respects in accordance with English law and each party hereby submits to the exclusive jurisdiction of the English courts.

Section 3 Membership Terms and Conditions

Introduction

Membership of the Club is subject to the following terms and conditions, (“Members’ T&Cs”).

Before purchasing a Membership, please ensure that you have read carefully the Members T&Cs. In purchasing a Membership, you acknowledge that you have read, understood and agree to be bound by the T&Cs.

“Member Card” means a non-seasonal membership card.

“Ticketing Loyalty Points” means the amount of loyalty points earned by a Member for purchasing match tickets.

“Terms and Conditions” means these terms and conditions governing the issue and use of a Reading Football Club Member Card. The Club Ground Regulations shall be incorporated in, and form part of, these members T&C.

“Website” means the website at www.readingfc.co.uk

1. In purchasing a Reading Football Club Membership, you agree to become a Member of Reading Football Club. The Member shall be entitled to the relevant benefits listed in the application form and on the Website from time to time.

2. Once an application to become a Member has been accepted and fully cleared and payment has been received for that Membership, each Member shall be issued with a Member Card. The Club shall not have any liability to any purchaser or Member for any non-delivery or late delivery of any card, ticket, documents or other materials dispatched by The Club to the purchaser and/or Member resulting from the actions, omissions, malfunctions or interruptions of any postal services or incomplete or inaccurate personal details or addresses provided to The Club

3. The Member Cards are not transferable and are strictly one per person. A Member Card is only valid when used by the person to whom it is registered. Any breach of this term will entitle The Club to demand the surrender and cancellation of the Member Card with no refund issued.

4. The Member Card remains the property of The Club. Member Cards may not be sold, exploited for commercial use, or used for promotional purposes or campaigns without the express written permission of The Club. The Member shall return the Member Card to the Club when asked to do so.

5. The Club cannot accept any responsibility for Member Cards that are lost, damaged or destroyed. Lost Member Cards should be reported immediately to the ticket office on 0118 968 1313. A replacement Member Card will be subject to a non-refundable £3 administration fee.

6. A valid Member Card is required for access to the Stadium. The Member must make the Member Card available for inspection on demand by any steward, security officer or other member of the Club staff. The Club shall not be obliged to admit any member who fails to bring their Member Card in respect of any individual match nor shall it be obliged to issue any other form of ticket for that match.

7. One of the benefits of being a Member Card Holder allows the Member to purchase one home ticket per match at a discounted rate (Only when a Member price applies). This discount will only apply when the ticket is loaded on to the Member Card for access. If a paper ticket is issued instead, then the member discount will no longer be applied.

8. All Members must comply with Reading FC Ground Regulations ( http://www.readingfcdirect.co.uk/ground-regulations.aspx) and match ticket terms and conditions (http://www.readingfcdirect.co.uk/terms.aspx). Any violation of these may result in Membership being withdrawn or cancelled.

9. Member Card applicants based in the UK & over 18 must be on the electoral register and living at the address given on application. The Club reserves the right to refuse an application if the name of the applicant is not registered at their stated address. The Club also reserves the right to cancel without refund any Memberships that are discovered to be registered to addresses that are not the primary residence of the card holder.

10. The benefit of Reading FC Membership includes the opportunity, subject to availability, to purchase tickets for home and away Matches in advance of sale to the general public. Ticketing Loyalty Points may therefore be used as a means of determining eligibility.

11. The number of tickets available to purchase by individual Members may vary on a match by match basis. It is the responsibility of the Member to find out when tickets go on sale for each game, when they are eligible to book and how many tickets they are able to purchase for that game. The Club will do its utmost to ensure that every available club communication channel is utilised to provide ticketing information.

12. Nothing in these Member’s Terms and Conditions shall constitute or imply that the Member has any guarantee or entitlement to any ticket, seat or access to any area of the Stadium for any match or matches. .

13. Priority for selected away match tickets will follow Season Ticket Holders on a Ticketing Loyalty Point basis; The Club will identify these on a match-by-match basis and update www.readingfc.co.uk accordingly.

14. If The Club suspects for any reason that the card is being used fraudulently to obtain matchday tickets, The Club retains the right to suspend the offending individual(s) from The Club.

15. No refunds will be given in respect of Membership Fees.

16. If you are convicted of a ticketing offence, or we suspect you have committed a ticketing offence, we will notify the Football League who in turn may notify the UK Football Policing Unit. The information that we share may include your details, information about the offence and about ticket purchases. We will use this to identify and prevent ticketing offence and disorder at matches. If you have any queries about this, please contact our Ticket Office on 0118 968 1313.

17. As a Member you are eligible to enter competitions but any prizes won over the season are non-transferable and must be claimed during the season to which the Membership applies unless otherwise stated in writing by The Club.

18. Without limitation, The Club reserves the right to re-brand or otherwise vary the Membership Scheme, or introduce any additional Membership Schemes. The Club will use reasonable endeavours to provide reasonable notice to Members in the match day programme or through the Website or by email relating the changes to the system by which match tickets are sold.

19. The Club reserves the right to amend these Member’s T&Cs at any time.


Section 4 Merchandise Terms & Conditions

1. Replica Kit

Customers should be aware that sizing may vary from previous Replica kits. Please ensure you obtain the correct size before printing as we are unable to exchange or refund after letters and/or numbers have been applied to personalise your item. Reading Football Club cannot accept liability for any changes to players names and numbers due to transfers.

2. Personalisation of Replica Kit

Reading Football Club (“we”, “us”, “our”) reserves the right to refuse to print shirts that we deem offensive or abusive. An operator will contact you to discuss your choice and, if necessary, request an alternative. Please note this may delay delivery of your shirt.

3. The Contract

A binding contract will be formed between us and you when we send you confirmation via email (“Order Confirmation”) that your order has been accepted. Once payment is received in full by us, you will get legal title of the goods (ownership).

4. Stock Availability

Occasionally, some items may be temporarily out of stock or sold out due to unprecedented demand. Where possible these items will be removed from the website, where possible we will offer alternative items on customer approval. If this is not possible, we will place out of stock items on back order and it will follow as soon as possible on a separate delivery. Customers can choose to accept a partially complete order at the time of checkout. If any items are likely to take more than three weeks the club will contact the customer to check with whether they wish to proceed with the order. If any items have been discontinued we will endeavour to offer an alternative wherever possible.

If for any reason you are not satisfied with any article, we will do our utmost to deal with your complaint to your satisfaction. This does not affect your statutory rights.

5. Pricing Policy

Prices quoted on our website are correct at time of publishing but we reserve the right to vary them up or down due to changes in VAT or any other circumstances which may be beyond our control. All prices stated are inclusive of VAT.

6. Payment

Goods can be paid for by:

10. Order Cancellation

You may cancel your order for goods at any time up to the 7th working day after you receive the goods*. Instructions to cancel all or part of your order MUST be IN WRITING. You may notify us by post to The Mail Order Department, Madejski Stadium, Reading, RG2 0FL, by fax to – 0118 9074 094, or email to merchandise@readingfc.co.uk.

Once you have notified Reading Football Club that you are cancelling your order, any sum debited from your credit card will be re-credited when we receive the goods into our returns department, and, in any event, within 30 days of the cancellation, provided you return the goods in the original condition, Reading Football Club will make any other refunds will be by cheque.

You are required to take reasonable care of the goods and return them at your own cost in order to receive a refund for a cancelled order.

If your order has already been delivered you will need to follow our Refunds procedure.

11. Exchanges

Damaged/Missing Goods On Delivery
You must report any damaged goods or missing items from your parcel with 72 hours of receipt. Please call readingfcdirect on 0118 9070 372/3 or email to merchandise@readingfc.co.uk. If you do not contact us within 72 hours we reserve the right not to replace or exchange/refund the item (s) that are damaged or missing.

Exchanges
If you are not completely satisfied with your purchase and would like to change the item (s) we will be happy to exchange most goods* provided that they are returned in a new and unused condition, with your proof of purchase and within 28 days** of that purchase.

All goods to be exchanged must be received back in a new and unused condition, with the original wrapping and the invoice or shop receipt. Please re-use the original packing material if possible, and use the return label attached to the invoice. The return address is readingfcdirect, Madejski Stadium, Reading, RG2 0FL. You may also return any of our products for an exchange to our Madejski Stadium Megastore.

APPENDIX 1 GROUND REGULATIONS

The Club shall be entitled to refuse to sell a Ticket, deny entry to or eject from the Stadium any person:

· who fails to comply with these Terms and Conditions;

· who does not produce a valid Ticket on request;

· who holds a Ticket in breach of any of the Terms and Conditions above;

· whose presence within the Stadium may be a source of danger, nuisance, annoyance or otherwise that may give rise to concerns in relation to the safety and security arrangements for the Football match concerned. This includes excessive noise, smoking, use of foul and abusive language and the throwing of any object which might injure or cause damage to people or property;

· who commits any forms of bigotry, racism or inappropriate behaviour arising from any form of prejudice. Anyone found in breach of this condition could receive a warning, have their Ticket confiscated without compensation, receive an indefinite life ban from the Stadium and in some cases arrest;

· who fails to comply with instructions from Club steward or police officer, including refusal to be searched;

· who is in possession of any item that may be used as a weapon or missile which includes but is not limited to flares and smoke bombs, or any bottle, can or tin;

· who appears to be under the influence of alcohol and/or drugs

· who is overly aggressive or abusive to any member of the Club FC staff or a police officer;

· who is suspected of committing, being likely to commit or having committed in the past a criminal offence within or on the site of the stadium;

· who enters an area prohibited to the Ticket Holder;

· who damages, interferes with or tampers with the Club's or any other person’s property in any way; or

· who stands in a seated area, on a seat, in an aisle or gangway or climbs over any fences or other structures without permission.

· who smokes in designated non-smoking areas;

· who is or who appears drunk or intoxicated;

· who persistently stand in seated areas whilst the Match is in progress

· who persistent swears during the Match;

· who throws any object within the Stadium without lawful authority or excuse;

· who chants anything of an indecent or racist nature;

· who brings any of the following into the Stadium (or using them within the Stadium): illegal drugs; other illegal substances; fireworks; firecrackers; smoke canisters; air horns; flares; laser devices; bottles; glass vessels or any item that might be used as a weapon or compromise public safety;
